- Soolo AS’s standard sales and delivery conditions apply to all deliveries unless otherwise agreed. All changes, additions to or deviations from these provisions must be agreed in writing.
- The agreement is a 100% subscription deal
- This means a service delivery that delivers facts and forecasts about level, as well as a quantity of other data that is presented in more detail in the relevant product sheets. We call the service delivery the “value of knowing.”
- The agreed monthly price is an “all-inclusive” delivery. It includes assembly, service, ongoing reports, access to our always-serviced customer center, ongoing software upgrades and the physical devices and battery replacement. See section 8
- Current monthly price can be changed if the customer wishes to upgrade or downgrade the service content of the delivery.
- Assembly month is free. Billing starts the month following the month of delivery. Monthly invoicing with 14 days due. The deadline for objections to an invoice is 7 days after receipt of the invoice.
- The physical device that is supplied for data collection is Soolo’s property and is supplied fully assembled and ready for use. It is assumed that the customer treats the physical units with normal care.
- Soolo covers at its own expense the replacement of equipment if it is defective. Exceptions apply if use/treatment of the equipment can be demonstrated that is outside of what one must be able to define as normal and careful treatment. And that this can be traced back to the customer.
- If a new version of the Soolo Master or sensor arrives that will improve the quality of the delivery, the old unit will be replaced with a new one at no cost to the customer. The old equipment is returned.
- Soolo AS provides “lifetime warranty” for all equipment during the contract period in the sense that it is Soolo’s responsibility to live up to our motto that “Soolo, it just works” throughout the contract period.
- For the first delivery in a customer relationship during the first 6 month trial period. If the customer wants to terminate during the period, Soolo will come and collect the equipment free of charge. After the trial period, the subscription is ongoing with a 24-month notice period.
- All prices are stated excluding VAT and are based on currently known rates of customs duties, taxes, exchange rates, environmental taxes etc. which can affect the price from offer to delivery.
- Ongoing credit assessment and larger deliveries may affect standard invoicing terms. This applies both at start-up and in the ongoing agreement. The change may also include a deposit.
- All software, including all technical descriptions with associated API, belongs to Soolo and cannot be transferred to third parties unless otherwise agreed in writing. All data, both e-raw data, (for example distance measurements and pressure measurements) as well as enriched data (for example volume calculations and estimated times to empty tank), belong to Soolo who also alone has all
commercial rights related to the collection, storage, processing and resale of the data. The scope of the delivery is defined in more detail in the product description under each product. - Cancellation. A binding agreement is entered into when the delivery agreement is signed by the customer.
- The current delivery time is the one stated on our order confirmation.
- Deficiencies in delivery can occur if communication in the network does not work or if the physical unit is damaged. In both cases, Soolo has a right to try to correct the conditions without this having any effect on the customer’s obligations under the agreement. Troubleshooting can include everything from changing the SIM card to a new telecom operator to changing the entire physical device. All complaint work will be done free of charge for the customer.
- At the end of the customer relationship, all financial balances, including any deposits etc., will be settled
- The seller has no financial responsibility beyond what is prescribed in these conditions as long as this does not conflict with any prescriptive legislation. The limitation of liability applies to all losses that the defect may cause, both in terms of direct losses and indirect losses (for example operating losses, lost profits and other consequential losses). Under any circumstances, any liability will be limited to 12 months’ rent, e.g. VAT.
- In the event of late payment of an invoice, Soolo will send out a payment reminder. In the event of continued non-payment, a debt collection notice and a notice of shutdown of data from the sensor will be sent. Upon payment, the sensor and access to historical data is opened. In the event of non-payment that Soolo considers may cause us losses, Soolo is entitled to terminate the agreement with immediate effect, including stopping the sending of further data and demanding the return of the physical unit. Losses associated with such lifting can be claimed to be compensated by the customer limited to the remaining number of months’ rent, e.g. VAT.
- Price regulation on ongoing agreements can be regulated in accordance with changes in the Consumer Price Index – SSB.
- Force majeure, The parties’ responsibilities are suspended in the event of a major global or local incident which disrupts one or both parties’ ability to maintain compliance with these terms, and that the parties do not have control or could not have reasonably predicted.
- The agreement is regulated by Norwegian legislation. Disputes must first be tried to be resolved amicably and, in the absence of such a solution, the dispute must be settled by the ordinary courts, with the Jæren District Court as the agreed venue.
